FVMTA CONSTITUTION
Article I. Name
Section 1. The name of this organization shall be: Fox Valley Music Teachers Association, hereafter referred to as FVMTA.
Section 2. All members of FVMTA shall hold membership in the Wisconsin Music Teachers Association and the Music Teachers National Association.
Article II. Purpose
The purpose of this group is to:
Section 1. Promote professional affiliation among music teachers.
Section 2. Stimulate professional growth among music teachers.
Section 3. Encourage high standards in music instruction.
Section 4. Provide performance and audition experiences for students.
Section 5. Provide a teacher referral service.
Section 6. Support the objectives of the Wisconsin and National Music Teachers Associations.
Section 7. Advance the value of music study and music making to our community.(Amended September 16, 2010)
No part of the net earnings of the organization shall inure to the benefit of, or be distributable to its members, trustees, officers, or other private persons except that the organization shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in the purpose clause hereof. No substantial part of the activities of the organization shall be carrying on of propaganda, or otherwise attempting to influence legislation, and the organization shall not participate in , or intervene in (including the publishing or distribution of statements) and political campaign on behalf of or in opposition to, any candidate for public office. Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under Section 501 (c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or (b) by an organization, contributions to which are deductible under Section 170 (c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.
In the event of the dissolution of this organization, any funds remaining in the treasury after the payment of any outstanding debts shall be contributed to Music Teachers National Association or another 501 (c)(3) organization.
Article III. Membership and Dues
Section 1. Membership shall be open to all music teachers who are either actively teaching or temporarily inactive but interested in the program of the organization.
Section 2. Annual dues shall be payable to the MTNA membership chairman by July 1.
Section 3. All paid members will be listed on this website under the "Find a Teacher" page.
Article IV. Officers and Elections
Section 1. The officers of this organization shall be President, Vice-President, Secretary, and Treasurer for the term of one year.
Section 2. The nominating committee shall consist of three members appointed by the President in January.
Section 3. The nominating committee shall present the slate at the last meeting for election by a majority vote. No name shall be placed in nomination without consent of the nominee. Nominations from the floor shall be permitted. An officer can be re-elected.
Article V. Duties of Officers
Section 1. The President shall conduct all meetings, call and preside at meetings of the Executive Board and appoint chairpersons of all committees for his / her term of office.
Section 2. The Vice-President shall conduct meetings in the absence of the President, perform such other duties as may be designated by the President, and serve as Program Chair.
Section 3. The Secretary shall record and preserve the minutes of each board meeting and of regular meetings, and prepare and distribute communications of the chapter.
Section 4. The Treasurer shall retain the funds, pay bills, record all transactions, and inform the President and Membership Chair of the MTNA membership.
Article VI. FVMTA Board
Section 1. The FVMTA Board shall consist of the officers and the chairpersons of the committees. The immediate past President shall be a member of the Board and act as a consultant. The Officers shall be empowered to act in emergencies between the meetings of the organization.
Section 2. The new Board shall meet in May. Additional meetings may be called at the discretion of the President.
Section 3. A quorum for the Board meetings shall consist of at least one half of the Board members.
Article VII. Meetings
Section 1. A minimum of five meetings of this organization shall be held each year, preferably in the months of October, November, February, March, and April for the purpose of conducting business and presenting workshops, lectures, and master classes relating to music instruction.
Section 2. A quorum for the general business meetings shall consist of at least ten members in good standing for transacting business.
Section 3. The business meetings shall be conducted according to Parlimentary Procedure.
Article VIII. Committees
Section 1. The Chairpersons shall be appointed by the President upon his / her election.
Section 2. Each Chairperson may form a committee as needed. Chairpersons are to keep an updated file of activities.
Section 3. Committees include: Concerto Competition, Finance, Historian, Hospitality, Lawrence Representative, Librarian, Membership, Mentoring, Monster Concert, Program, Public Relations / Communications, Scholarships and Grants, Sunshine, WMTA Liaison, Website / Directory
Article IX. Amendments
These by-laws may be amended at any regular meeting of the organization by a two-thirds vote of the members present and voting, providing that notice of the proposed amendment has been sent to each member before the voting.
Article X. Parliamentary Authority
The rules contained in Roberts Rules of Order shall govern in all cases wherein they do not conflict with the rules of the organization.
